Affiliate Programme Terms

1. Parties and Scope

These Affiliate Programme Terms (the "Terms") govern the relationship between Loopcode Bilişim Yazılım Mühendislik Eğitim ve Danışmanlık A.Ş. (the "Company"), which operates Yeşilçam Studios (yesilcamstudios.com), and the person or organisation that applies to and is accepted into the Yeşilçam Studios affiliate programme (the "Programme") (the "Affiliate"). These Terms supplement the Yeşilçam Studios Terms of Service; provisions of the Terms of Service that do not conflict with the Programme also apply to the Affiliate.

2. Application and Participation

Anyone may apply to the Programme; participation is subject to the Company’s approval. Your application must list your social media accounts (platform, username or link, follower count) and describe to whom and how you will promote Yeşilçam Studios. The Company reviews applications against its own criteria, in particular audience size and suitability, and may reject an application without giving reasons. A rejected applicant may apply again no earlier than 30 days after the rejection.

• The information you provide in your application must be accurate and belong to you.
• A person or organisation may hold only one Affiliate account.
• Participation in the Programme does not create an employment, partnership, representation or agency relationship between the Company and the Affiliate.

3. Invitation Link and Attribution

An approved Affiliate receives a personal code and invitation link. When a visitor clicks the link, a first-party record valid for 60 days from the click is stored in the visitor’s browser. If the visitor opens a new Yeşilçam Studios account within that period, the account is attributed to the Affiliate who owns the last valid link clicked, and this attribution is fixed permanently when the account is opened. Existing accounts, visits where the browser record has been deleted or blocked, and clicks older than 60 days are not attributed.

4. Commission

The Affiliate earns a commission on every successful payment made by a customer attributed to them for 12 months from that customer’s first payment:

• 15% on subscription payments (Basic and Pro),
• 10% on token pack purchases.
• Commission is calculated on the net amount, being the amount paid by the customer less value added tax; refunded amounts are not commissionable.
• Commissions arising from payments in Turkish lira and in US dollars are held in separate currencies and are not converted into one another.
• The Company may set a different rate for a specific Affiliate, in writing or by displaying it in the affiliate panel.

5. Confirmation, Refunds and Reversals

Each commission remains pending until the 14-day refund period from the customer’s payment date has ended, and is confirmed at the end of that period. If a payment is refunded, charged back or otherwise becomes invalid, the related commission is reversed. If a reversed commission has already been paid out, its amount is deducted from the Affiliate’s subsequent payouts.

6. Payouts

Confirmed commissions are paid in one of two ways:

• As tokens: The Affiliate may request at any time from the affiliate panel that their confirmed balance be converted into tokens. The amount is converted into Yeşilçam Studios tokens using the multiplier shown in the panel (currently 1.5 times) and the token value, and added to the account. Tokens added this way are valid for 365 days from the date they are added, cannot be converted into cash and cannot be transferred. A token payout requires a confirmed balance of at least 1,000 Turkish lira or 50 US dollars.
• In cash (monthly payout period): Available only to commercial Affiliates able to issue invoices (companies and sole proprietorships), and the Affiliate does not open a separate cash payout request. Commissions arising from sales made in a calendar month and confirmed at the end of the 14-day waiting period form that month’s payout period and, once the conditions below are met, are paid by bank transfer to the bank account (IBAN) provided by the Affiliate by the 20th of the following month.
• The period total must be at least 1,000 Turkish lira or 50 US dollars; a balance below this amount carries over to subsequent periods and is paid in the period in which the total reaches this amount.
• After the period closes, the Company sends the Affiliate an invoice request by email. The Affiliate issues an e-invoice or invoice for the requested amount to the Company details stated in the invoice request, in accordance with the applicable legislation, and uploads it to the affiliate panel. The commission amount is the total amount including taxes; for payments in Turkish lira, the VAT-inclusive total of the invoice equals the commission amount.
• Payment is made after the uploaded invoice is approved by the Company; no transfer is made before the invoice is uploaded and approved. If the invoice is uploaded late, payment is made within a reasonable period after approval.
• A cash payout requires the legal name, tax office, tax number, address and bank account (IBAN) to be completed in the affiliate panel. Non-commercial (individual) Affiliates may receive payouts only as tokens.

7. Gift for Invited Users

A user who opens an account through an affiliate link receives a one-time gift of 100,000 tokens when they make their first real payment (subscription or token pack) on Yeşilçam Studios. Opening an account alone does not earn the gift. The validity period of the gift tokens is communicated to the user; no gift is given to accounts suspected of self-referral.

8. Prohibited Practices

The following practices are prohibited; if detected, the related commissions are not paid, commissions already paid are reversed, and the necessary measures are taken, including removing the Affiliate from the Programme:

• Self-referral: attempting to earn commission through your own account, other accounts belonging to the same person, the same payment card or the same device.
• Running search engine ads on "Yeşilçam Studios", "Yeşilçam" or similar terms or misspellings, or using them as a domain name, social media account or app name.
• Sending unsolicited bulk messages (spam), using email lists without permission or breaching the rules of third-party platforms.
• Placing cookies or local records without the user’s knowledge, generating clicks, or using pop-ups or hidden links.
• Promoting in an untrue or misleading way or making commitments on behalf of the Company; acting as a representative of the Company.
• Using the invitation link in content that is illegal or contains hate speech, violence or obscenity.

9. Advertising Disclosure and Promotion Rules

Every post containing an invitation link or code must clearly state that the content is advertising (for example #ad, or #reklam or #işbirliği in Turkish). The Affiliate is responsible for complying with applicable advertising and consumer legislation, in particular the regulations of the Advertising Board of the Turkish Ministry of Trade, and with the rules of the platforms on which they post. Promotional videos and texts provided by the Company may be used only within the Programme, without alteration or distortion of their meaning; trademarks and logos may not be used for any other purpose without the Company’s permission.

10. Taxes

The Affiliate is responsible for their own tax and legal obligations relating to income earned from the Programme. For cash payouts, the commission amount is deemed to be the total amount including taxes; taxes shown on the invoice issued by the Affiliate are stated in accordance with the legislation applicable to the Affiliate.

11. Protection of Personal Data

To run the Programme, the Company processes your application details, social media account details, the click records of your invitation link (an irreversible digest of the IP address and a device identifier), the payment and commission records of attributed customers, and the commercial and bank details you provide for cash payouts, in accordance with Turkish Personal Data Protection Law No. 6698 and the Yeşilçam Studios Privacy Policy. This data is used for commission calculation, fraud prevention, payments and statutory retention obligations. The identity of invited customers is not shown to the Affiliate; the panel displays numerical summaries only.

12. Suspension and Termination

The Affiliate may leave the Programme at any time. The Company may suspend the Affiliate account or remove the Affiliate from the Programme in the event of a breach or suspected breach of these Terms, and may end the Programme with prior notice. No new commission is confirmed during a suspension. On termination or the end of the Programme, confirmed commissions that do not arise from a breach are paid under the conditions of these Terms.

13. Changes

The Company may change these Terms and the Programme conditions. Changes apply to payments made after their publication date; material changes are communicated to the Affiliate by email or through the affiliate panel.

14. Governing Law and Contact

These Terms are governed by the laws of the Republic of Türkiye; the courts and enforcement offices of Istanbul have jurisdiction over disputes. For questions about the Programme, write to info@loopcode.co. The Turkish text is the binding version.
