Distance Sales Agreement

1. Parties

This Distance Sales Agreement (the "Agreement") is concluded electronically between the Seller and the Buyer identified below, under the following terms and conditions.

Loopcode operates the AI-powered production platform available at yesilcamstudios.com under the "Yeşilçam Studios" brand (the "Platform") and is the seller of the subscriptions and token packs sold through the Platform.

1.2. Buyer

The natural or legal person purchasing a subscription or token pack through the Platform (the "Buyer"). The Buyer's identity and contact details are those entered by the Buyer at the payment step and recorded in the order record, which forms an integral part of this Agreement.

2. Subject of the Agreement

The subject of this Agreement is the sale and performance of the subscription plan or token pack ordered electronically by the Buyer through the Platform, and the determination of the parties' rights and obligations under the Turkish Consumer Protection Law No. 6502 and the Regulation on Distance Contracts.

3. Main Characteristics of the Product and Service

The products subject to the Agreement are digital content used for AI generations within the Platform:

• Subscription plan: A time-based membership billed monthly or annually according to the selected plan, which loads the plan's tokens at the start of each period. It renews automatically until cancelled; upon cancellation access continues until the end of the period.
• Token pack: A set amount of tokens (including any pack bonus) loaded instantly into the Buyer's wallet upon payment confirmation.

The token cost of each generation is shown before the operation is started. Tokens cannot be converted to cash or transferred and may only be used within the Platform. Tokens of generations that fail for a reason attributable to Loopcode are refunded to the Buyer's wallet automatically.

4. Sale Price and Payment

4.1. Price

The sale price is the total amount including taxes shown on the payment screen at the time of the order and confirmed by the Buyer. Prices are in TL/TRY for the Türkiye market and in USD for other markets and include VAT. No additional service or transaction fee is charged to the Buyer.

4.2. Payment

Payment is made by card through the iyzico payment infrastructure with 3D Secure verification. Card details are not stored by Loopcode. For subscriptions, renewal payments are collected automatically at the start of each period from the card stored by iyzico with the Buyer's approval; if collection fails, the subscription is not renewed.

4.3. Invoice and Records

The e-Archive invoice for the sale is issued within the period required by law and sent to the e-mail address declared by the Buyer.

5. Performance and Delivery

The service is performed electronically immediately after the payment is completed successfully: token packs are loaded instantly into the Buyer's wallet; the subscription starts immediately and the plan's tokens are loaded. Delivery is made to the Buyer's Platform account; there is no physical delivery.

6. Right of Withdrawal and Its Exception

The products subject to the Agreement fall under Article 15(1)(ğ) (services performed instantly in the electronic environment and intangible goods delivered instantly) and Article 15(1)(h) (services whose performance began with the consumer's approval before the withdrawal period expired) of the Regulation on Distance Contracts. By confirming the order, the Buyer acknowledges that they request immediate performance and therefore have no right of withdrawal.

The absence of the right of withdrawal is communicated to the Buyer before the purchase in the Preliminary Information Form and on the payment screen. This does not remove the rights regarding the refund cases set out in Article 7.

7. Cancellation and Refunds

7.1. General

The procedures and principles regarding cancellation and refunds are set out in the "Cancellation and Refund Policy" document together with this Agreement. By placing the order, the Buyer is deemed to have accepted the conditions in that document.

7.2. Token Packs

Refund requests for entirely unused packs (no tokens spent) submitted within 14 days of the purchase date are accepted. Partially or fully used packs are not refundable.

7.3. Subscriptions

The Buyer may cancel the subscription at any time; cancellation stops the next renewal, the amount paid for the current period is not refunded, and access continues until the end of the period.

7.4. Refund Method and Period

Approved refunds are made by Loopcode to the payment instrument (card) used by the Buyer at the time of payment, through the iyzico infrastructure, within 14 days at the latest. The time for the refund to appear in the Buyer's account may vary depending on the processes of the relevant bank or payment institution.

8. Declarations and Obligations of the Buyer

The Buyer;

• declares that all information provided during the order is accurate, current and complete,
• declares that they are at least 16 years old and have the capacity to transact,
• declares that they have received and approved the preliminary information regarding the main characteristics of the product, the sale price, the payment method, the performance conditions and the exception to the right of withdrawal,
• undertakes to use the tokens and generations in accordance with the Terms of Service and not to transfer tokens,
• acknowledges that they are responsible for the content they generate on the Platform and for the rights to the inputs they upload

and accepts, declares and undertakes the above.

9. Protection of Personal Data

Personal data provided by the Buyer under this Agreement is processed in accordance with the Turkish Personal Data Protection Law No. 6698 ("KVKK") and related legislation. Detailed information on the purposes of processing, the parties to whom data is transferred, retention periods and the rights of the data subject is set out in the "Privacy Policy" document.

Card details used in payment transactions are transmitted to iyzico and are not stored by Loopcode. The Buyer may submit KVKK requests via info@loopcode.co.

10. Dispute Resolution

This Agreement is governed by the laws of the Republic of Türkiye. For disputes arising from the Agreement, in consumer transactions the Consumer Arbitration Committees and Consumer Courts have jurisdiction within the monetary limits announced each year. For disputes above those limits the Consumer Courts, and for disputes that are not consumer transactions the courts and enforcement offices of Istanbul, have jurisdiction.

The Buyer may submit complaints and requests to info@loopcode.co.

11. Entry into Force

The Agreement is concluded and enters into force when the Buyer completes the order by declaring on the payment screen that they have read and approved the Preliminary Information Form and this Agreement. A copy of the Agreement, in the version accessible from the Buyer's account, is kept by Loopcode.
